Directors remain responsible for the company and its obligations.

An individual must ordinarily reside in Hong Kong. A corporate secretary must have its registered office or a place of business in Hong Kong. A sole director cannot also act as company secretary. Ask us about any further restrictions relevant to your structure.

The published HK$3,000 combines company secretary services at HK$2,000 and SCR designated representative services at HK$1,000. Registered office and mail forwarding services are additional if needed. Your quotation confirms the routine work included and any separately charged corporate actions, certification or bank-support work.

Yes, subject to engagement and customer due diligence. We prepare the appointment documents and relevant notifications, coordinate the request for company records and review the information received. Any missing records or overdue work will be identified and discussed with you. Timing depends on the condition and availability of the records.

We can help request the records, review available Registry filings and identify gaps. A change of provider and a dispute over fees or records are separate matters. Unresolved ownership, entitlement or withholding disputes may require legal advice. Public filings alone may not be enough to reconstruct every record.

We can assist with the documents and filings. Whether a particular corporate action is included or separately charged depends on your engagement and its complexity. The quote will explain any additional fees before work begins. Share transfers may also involve stamp duty and legal documentation.

We track the deadlines within the services you engage us for and send reminders for the information, approvals or signatures required. The reminder schedule is confirmed in your engagement. Tell us promptly about changes to the company, correspondence received or other matters affecting those deadlines.

An eligible person designated to assist law enforcement officers in relation to the company’s Significant Controllers Register. IMSG offers this service at HK$1,000 a year. Companies may also appoint an eligible person of their own; see the incorporation FAQ for the distinction.

Yes. The service provides a Hong Kong registered office address at Lippo Centre, Admiralty. Mail forwarding is available separately. Your engagement confirms how mail is handled and any delivery charges or limitations.

Offshore incorporation and ongoing administration for BVI, Cayman Islands and Marshall Islands companies can be arranged with the relevant local providers. Scope, government fees, agent fees and applicable reporting work are quoted for the structure concerned.
