Re-domiciliation coordination

Re-domiciliation to Hong Kong.

Coordinate an existing overseas company’s move, with Hong Kong, overseas, legal and tax requirements considered.

A move for an existing overseas company.

An eligible company may continue into Hong Kong while retaining its legal identity. Eligibility and the effects of the move require professional review.

  • Company information

Constitution, records, ownership and existing arrangements organised for the initial review.

  • Provider and adviser liaison

Hong Kong and overseas work coordinated with the relevant providers and separately engaged legal and tax advisers.

  • Registration and follow-up

Agreed filings and company-record work coordinated, with post-registration requirements kept in view.

IMSG coordinates company-services work. Eligibility, foreign-law effects and tax consequences are reviewed by the appropriate advisers; completion and tax outcomes are not guaranteed.

Hong Kong’s inward regime took effect on 23 May 2025 and covers four comparable types: private or public companies limited by shares, and private or public unlimited companies with share capital. The original law must permit the move, the first financial year in its current domicile must have ended, and member, creditor and solvency safeguards apply. Companies in liquidation or with ongoing or pending liquidation proceedings cannot use the route. It does not provide an outward migration regime for Hong Kong companies. Forming a new Hong Kong company?

Review both jurisdictions before setting the timetable.

  1. 1

    Review the proposed move

Company position, original-jurisdiction rules and advisers identified.

  2. 2

    Agree responsibilities

Provider roles, documents, approvals, scope and fees confirmed.

  3. 3

    Coordinate the application

Agreed records and filing preparation followed up with the relevant professionals.

  4. 4

    Plan the follow-up

Original-jurisdiction and Hong Kong requirements addressed after registration.

After re-domiciliation, the company must complete deregistration in its original jurisdiction and submit evidence to the Registry within 120 days, unless the Registrar grants an extension. The NSC21 member and share-capital return is due within 15 days; other consents, charge notices and ongoing Hong Kong duties also need review. Post-registration filing guidance

Documents for the initial re-domiciliation review
  • Incorporation and constitutional documents, current jurisdiction and company type.
  • Current registers, ownership or group chart and details of the relevant directors and owners.
  • Latest accounts, borrowing arrangements, material agreements and relevant licences.
  • Existing overseas, legal or tax advice and any lender, investor or other consent requirements.
  • The reason for the move, target dates and any Hong Kong entities already in the group.

The advisers confirm the evidence needed for eligibility and the application. Post-registration filings, overseas deregistration and banking updates need their own timetable.

Agree the coordination scope before proceeding.

IMSG’s work is quoted in writing after the company, available records and adviser requirements are reviewed.

The quote distinguishes IMSG’s coordination from government charges and overseas, legal, tax, accounting or independent-audit work. Required opinions, third-party approvals and additional work affect the project scope and timetable.

Re-domiciliation does not erase pre-move Hong Kong profits-tax liabilities. Tax residence, foreign exit treatment and applicable foreign-sourced income rules need a separate review. IRD re-domiciliation guidance
