Re-domiciling a company to Hong Kong: the main steps and considerations.

The same company continues

Re-domiciliation preserves the company’s legal identity. It does not change its original place of birth or automatically merge a holding company with its operating subsidiary. Existing group entities remain separate unless another valid transaction changes that structure.

Plan both jurisdictions

    Confirm Hong Kong eligibility and whether the original jurisdiction permits outward migration. Review solvency, approvals, agreements, licences and legal opinions.

    Prepare Form NNC6 and the accompanying documents under the current Registry guide. Processing targets do not describe the whole project timetable.

  3. 03

    Map post-registration forms. NSC21 reports member particulars and share capital at the re-domiciliation date and is due within 15 days. Other consents and charge filings may also apply.

  4. 04

    Take the required steps to deregister at origin and submit satisfactory evidence within the ordinary 120-day period, subject to any extension granted.

Review banking, tax and contracts

Continuity does not remove all notices, consents, banking updates or foreign-law consequences. Tax residence differs by jurisdiction and treaty, and the entire transaction cannot be described as universally free of disposal or stamp-duty consequences. Review the actual facts with the relevant advisers.
