BVI annual financial returns: what directors should prepare.

A BVI business company may need to provide an annual financial return to its registered agent. Confirm the applicable requirements, exemptions and deadline, and prepare the financial information in good time.

A BVI business company may need to provide an annual financial return to its registered agent. Confirm the applicable requirements, exemptions and deadline, and prepare the financial information in good time.

Confirm the company’s obligation

The annual financial return is distinct from other BVI filings. The statutory ordinary period is nine months after the relevant financial year end, but the registered agent should confirm the company’s year end, exemptions, applicable extensions and current requirements. Do not assume the incorporation anniversary is always the financial year end.

Prepare reliable financial information

    Obtain the current return format and instructions from the registered agent.

    Collect ledgers, trial balance, bank statements, investment and loan records, invoices and other supporting evidence appropriate to the company.

    Reconcile the information and resolve missing items before approval. Bank balances alone may not show all assets, liabilities, income and expenses.

    Record who reviewed and authorised the return and retain the submitted version and agent’s acknowledgment.

Submission and late returns

The obligation is ordinarily submission to the registered agent, rather than an ordinary public filing of the financial return. This does not remove other recordkeeping or disclosure obligations. Ask the agent about any separate filing or regulatory requirements for the company.

If a return may be late, contact the agent promptly to confirm the correct response, penalties and any remedial steps. Do not infer the status of a certificate of good standing or a restructuring solely from an overdue return. Those questions need their own current assessment.
