Start with the purpose of the entity

Identify who will own and manage the company, what it will hold, how funds will move and why a separate holding entity is needed. A default offshore layer is not appropriate for every founder or group.

Questions for the local providers

    Incorporation: permitted entity type, constitutional documents, ownership and due-diligence requirements.

    Registered-agent arrangements: responsibility, records, service scope and provider-change procedure.

    Reporting and disclosure: current beneficial-ownership, financial, annual and other applicable requirements.

    Migration: eligibility and steps in both jurisdictions, required consents and effects on agreements.

    Fees: initial, annual, government, agent and additional work, quoted for the same scope.

Banking and counterparties

Ask the intended providers and counterparties what they require for the actual structure. Neither BVI nor the Marshall Islands guarantees a superior bank outcome, a faster application or lower legal fees. Familiarity is not a substitute for eligibility and evidence.

Tax and ongoing obligations

Obtain advice for the company, owners and activities in the affected jurisdictions. Consider reporting, residence, substance where applicable and any planned restructuring. Re-domiciliation is not an automatic exemption from consents, banking updates or tax consequences.
